Important service boundary
CloakTag creates a way to communicate. It does not guarantee a return.
CloakTag does not track an item, verify a person's identity or ownership, take custody of property, arrange transportation, provide insurance, or guarantee that an item will be found, scanned, reported, or returned. Owners and finders decide whether and how to communicate, meet, ship, or transfer an item.
The short version
- Use CloakTag only for lawful, genuine recovery activity.
- Keep account credentials secure and share only information you are authorized to provide.
- Use good judgment when communicating, meeting, shipping, or handling property.
- Do not rely on CloakTag as an emergency, safety, tracking, identity, or ownership service.
- Mandatory rights under applicable law continue to apply.
Agreement and scope
These Terms of Use ("Terms") apply when you visit cloaktag.com or use a CloakTag owner, finder, recovery, messaging, or partner-branded experience (collectively, the "Service"). "CloakTag," "we," "us," and "our" refer to the operator of the applicable CloakTag experience. "You" includes a visitor, owner, finder, or authorized organization user.
By accessing or using the Service, you agree to these Terms. If you act for an organization, you confirm that you have authority to bind it. A separate written partner, API, order, or subscription agreement controls if it expressly conflicts with these Terms.
The CloakTag platform and this website are operated by 1001064988 Ontario Inc. If you integrate CloakTag as a brand or partner, your use is also governed by the CloakTag Platform Terms, Acceptable Use Policy, and Data Processing Agreement provided during onboarding.
Eligibility
Owner accounts and organization controls are intended for people who have reached the age of majority and can enter a binding agreement. A minor who encounters a tagged item should involve a parent, guardian, or other responsible adult and should not arrange an in-person handoff alone.
What the Service does
The Service can connect a tag identifier with owner-approved recovery information and can provide a private communication path between an owner and a finder. It is a communications tool only. Registering or controlling a tag does not prove legal ownership, establish title, determine value, or resolve a property dispute.
Safety and emergencies
CloakTag is not an emergency-response, security, anti-theft, monitoring, medical-alert, safeguarding, or law-enforcement service. The Service may not be monitored in real time. Do not use it as the only source of medical, safety, identity, ownership, or emergency-contact information.
Do not trespass, enter an unsafe place, confront another person, or put yourself or anyone else at risk to retrieve or return an item. If there is an immediate danger, suspected crime, hazardous item, or dispute about ownership, contact the appropriate emergency service or local authority.
Accounts and access
You are responsible for activity under your account and for protecting passwords, recovery codes, devices, and access links. Tell us promptly if you believe access has been lost, stolen, or compromised. We may require reasonable verification before restoring access or changing sensitive settings, but no verification method is guaranteed to establish identity or ownership conclusively.
Owner responsibilities
- Provide accurate, current information and update or remove it when circumstances change.
- Register only items and tags you own, control, or are authorized to manage.
- Share only information, instructions, images, and content you have the right to provide.
- Choose carefully what a finder may see and avoid unnecessary sensitive information.
- Remove or transfer a tag association before selling, giving away, or disposing of an item.
- Use lawful and reasonably safe arrangements for pickup, delivery, shipping, or transfer.
Finder responsibilities
Finder access is offered only to support a voluntary, legitimate return. A finder is not required by CloakTag to retrieve, store, transport, ship, pay for, or meet anyone about an item.
- Follow applicable lost-property rules and instructions from local authorities.
- Do not use a tag or recovery information to identify, locate, track, harass, threaten, deceive, market to, or profile another person.
- Do not demand payment, hold property as leverage, or misrepresent the condition or location of an item.
- Do not disclose recovery information or private messages except when legally required or reasonably necessary for safety.
Messages and user content
You remain responsible for messages, item descriptions, recovery instructions, and other content you provide. You grant CloakTag a limited permission to host, process, transmit, and display that content only as reasonably needed to operate, secure, and support the Service.
Messages may be delayed, filtered, unavailable, or not delivered. CloakTag does not verify every message, continuously monitor conversations, or guarantee the identity, intentions, authority, or conduct of any participant.
Prohibited use
Use the Service only for lawful, genuine recovery activity. You must not, and must not allow anyone else to, use the Service to:
- Break the law, violate another person's rights, or facilitate fraud, theft, phishing, stalking, surveillance, harassment, exploitation, or harm.
- Harass, bully, threaten, intimidate, defame, or dox a person, including publishing or demanding someone's name, photo, home address, school, workplace, or location beyond the contact the Service provides.
- Demand money or anything of value as a condition of returning a found item, or otherwise use an item, tag, or the relay to extort, coerce, or hold property to ransom. Finding an item never entitles anyone to a reward.
- Activate, claim, transfer, or manage a tag you do not own or are not authorized to manage, submit a false recovery report, or claim an item dishonestly.
- Attach or use a tag to monitor or track a person without their knowledge and lawful consent.
- Impersonate a person or organization, or misrepresent your identity, ownership, or affiliation.
- Send spam or unsolicited advertising, or upload malware or content that is unlawful, threatening, abusive, discriminatory, or sexually exploitative.
- Scrape or harvest data; probe, guess, or enumerate tag identifiers or other resources; or bypass access controls, authorization, tenant isolation, or rate limits.
- Access, resolve, or act on another account's or another brand's tags, keys, usage, or data.
- Reverse engineer protected components, test for vulnerabilities without written authorization, introduce harmful code, overload or disrupt the Service, interfere with another user, or misuse, share, or embed access keys or credentials.
Child safety and illegal content
Content that sexually exploits or endangers a child is prohibited without exception. The finder experience is designed to convey a short message and, optionally, an approximate location to help return an item; it is not a photo-sharing service. We report suspected child sexual abuse material to law enforcement and the appropriate child-protection tip line (such as Cybertip.ca), and cooperate with authorities as the law requires.
Because many tagged items belong to children, never involve a child in arranging a return, meeting, or payment, and never attempt to contact or obtain information about a child through the Service. If you encounter suspected child exploitation or another imminent-harm situation, contact local law enforcement, report to Cybertip.ca, and you may also notify us at support@cloaktag.com.
Physical tags, devices, and connectivity
Physical tags may be manufactured, sold, installed, or supplied by a partner or other third party. Unless CloakTag is identified as the seller in your purchase record, product condition, placement, adhesion, wear, compatibility, delivery, returns, and physical-product warranties are matters between you and that seller.
QR codes, supported tap options, links, browsers, devices, and networks can fail because of damage, placement, materials, incompatible hardware or software, connectivity, environmental conditions, or third-party changes. Inspect tags periodically and keep another appropriate way to identify or protect important property.
Partner and third-party services
Some experiences appear under a partner's identity or link to services we do not control. Partner purchase, warranty, privacy, shipping, marketplace, or account terms may also apply. CloakTag is not responsible for a third party's products, promises, content, availability, security, accessibility, or conduct, and a link does not by itself mean endorsement.
Purchases, rewards, shipping, and handoffs
Any purchase of a physical product or subscription is governed by the terms shown by the applicable seller. CloakTag is not a carrier, courier, warehouse, insurer, escrow service, payment intermediary, or agent for an owner or finder. Unless a separate written agreement expressly says otherwise, CloakTag does not take possession of an item, arrange a handoff, set or pay a reward, reimburse expenses, or resolve disputes about condition, shipping, payment, or ownership.
Privacy
Our Privacy Notice explains how information is handled. You are responsible for obtaining any consent and providing any notice required before submitting information about another person.
Availability and changes
We may maintain, update, restrict, suspend, or discontinue all or part of the Service, including a feature or integration. The Service may be unavailable because of maintenance, security work, connectivity, third-party dependencies, legal requirements, or events outside reasonable control. We do not guarantee uninterrupted, timely, secure, or error-free operation.
Suspension and termination
You may stop using the Service at any time. We may limit or suspend access when reasonably necessary to protect people, property, the Service, or third parties; investigate suspected misuse; comply with law; or enforce these Terms. Where appropriate, we may provide notice and an opportunity to correct the issue. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, indemnity, and general contract terms—continue to apply.
Intellectual property
CloakTag's software, branding, design, documentation, and content are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. These Terms do not transfer ownership or permit copying, resale, unauthorized commercial use, or creation of confusingly similar services.
If you believe content available through the Service infringes your intellectual-property or other rights, contact us at support@cloaktag.com with enough detail to locate it, and we will review the report and, where appropriate, remove the content or disable access.
If you voluntarily provide feedback, you allow us to use it without restriction or compensation, provided we do not identify you publicly without permission.
Warranty disclaimer
Nothing in these Terms excludes a warranty, condition, remedy, or other right that cannot lawfully be excluded. Subject to those rights, the Service is provided "as is" and "as available." To the fullest extent permitted by law, CloakTag disclaims implied warranties and conditions, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and that the Service will achieve a particular recovery outcome.
You assume the risks inherent in voluntary communication and property handoffs. CloakTag is not responsible for the acts, omissions, statements, identity, authority, safety, or reliability of owners, finders, partners, sellers, carriers, or other third parties.
Limitation of liability
To the fullest extent permitted by law, CloakTag and its affiliates, officers, directors, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of data, revenue, profit, opportunity, goodwill, or reputation; or the loss, theft, damage, condition, repair, replacement, value, shipment, storage, or return of an item.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount you paid directly to CloakTag for the specific Service giving rise to the claim during the 12 months before the event giving rise to liability. For a Service provided without direct payment, liability is limited to the minimum amount, if any, required by applicable law.
These exclusions and limits apply regardless of the legal theory and even if a remedy fails of its essential purpose, but they do not limit liability that cannot legally be limited, including liability for fraud, wilful misconduct, or any other responsibility that applicable law requires us to retain. Some jurisdictions do not permit certain exclusions or limits, so part of this section may not apply to you.
Indemnity
To the extent permitted by law, you will defend, indemnify, and hold CloakTag harmless from third-party claims, damages, and reasonable costs arising from content you submit, your unlawful or prohibited use of the Service, or your violation of another person's rights. This obligation does not apply to the extent a claim was caused by CloakTag's negligence, wilful misconduct, or breach of law.
Disputes and applicable rights
Please contact us first, at support@cloaktag.com, so we can try to resolve a concern informally before any formal proceeding. Where CloakTag operates the experience, these Terms are governed by the laws of the Province of Ontario, and the courts located in Toronto, Ontario have jurisdiction, subject to any mandatory local law; where a partner operates the experience under its own terms, that partner's stated governing law may apply instead. Nothing in these Terms removes a mandatory local consumer-protection right or remedy that cannot be waived, or prevents either party from seeking urgent relief, reporting a concern to a regulator or law-enforcement authority, or bringing a claim in a local court where the law gives that right.
Changes to these Terms
We may update these Terms to reflect changes to the Service, law, or risk. The updated version will show a revised date. Where required, we will provide additional notice before a material change takes effect. Changes do not apply retroactively unless the law permits and the notice clearly says so. If you do not agree to an update, stop using the Service.
General terms
These Terms, together with any applicable separate written agreement, form the agreement about the Service. If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the rest remains in effect. A delay in enforcing a provision is not a waiver. You may not transfer your rights or obligations under these Terms without our consent; we may transfer ours as part of a reorganization, financing, sale, or transfer of the Service, subject to applicable law. Neither party is responsible for a delay or failure caused by events beyond its reasonable control, except for payment obligations.
Language
These Terms are provided in English. We can provide a French-language version on request at support@cloaktag.com; where a French version is provided and local law requires it to govern for a matter, it governs to that extent.
